1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of FormLock and related services (the "Service") provided by OpsGuardIQ ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Service Description

FormLock provides offline conversion tracking and lead intelligence software for service-business customers. The Service includes:

• An embedded JavaScript tracking script that you install on your website to observe form submissions.
• Server-side conversion forwarding to ad platforms (Meta Conversions API, Google Ads API) when you tag lead outcomes.
• A web-based dashboard for managing leads, viewing scoring, and tagging outcomes.
• Behavioral lead scoring based on attribution and engagement signals.
• Email summaries of daily lead activity.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the security of your credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment

FormLock Track is offered as a monthly subscription. The current price is $97 USD per month, billed in advance. Pricing may change with 30 days' notice. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

All fees are non-refundable except as required by law or as expressly stated in these Terms.

5. Free Trial

We may offer a 14-day free trial period for new subscribers. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You can cancel at any time during the trial through your account settings or by contacting us.

6. Customer Responsibilities

You agree that you are solely responsible for:

• Legal compliance with all applicable laws, including privacy and data protection laws (GDPR, CCPA, ePrivacy Directive, TCPA, CAN-SPAM, and others) in the jurisdictions where you and your customers operate.
• Informing your website visitors about the data collection performed by the FormLock tracking script and obtaining any required consents.
• The accuracy of outcome tags you submit through the Service.
• Your relationships with third-party advertising platforms (Meta, Google Ads, and others), including compliance with their terms of service and policies.
• The lawful collection of leads through your website.

7. Acceptable Use

You agree not to:

• Use the Service to collect leads through deceptive or unlawful means.
• Send false or fabricated outcome data to mislead ad platform optimization.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Use the Service to harass, defraud, or harm others.
• Interfere with or disrupt the Service or networks connected to the Service.
• Use the Service in violation of any applicable law or regulation.

8. Intellectual Property

The Service, including all software, designs, content, and documentation, is owned by OpsGuardIQ and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of any data and content you submit to the Service.

9. Third-Party Services

The Service integrates with third-party services including Meta and Google Ads. Your use of those integrations is also governed by the third party's terms and policies. We are not responsible for the availability, performance, or behavior of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We do not guarantee that ad platform optimization will improve, that scores will be accurate, or that the Service will be uninterrupted.
• Our total liability to you for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, consequential, special, or punitive damages.

11. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any reason with 30 days' notice. Upon termination, your access to the Service ceases and we may delete your data after a reasonable retention period.

12. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States. Any disputes arising from or relating to these Terms or the Service will be resolved through binding arbitration on an individual basis, except where prohibited by law.
